1. Acceptance of Terms
By registering for, accessing, or using FreelanceConnect (the "Platform"), operated by Parous Group, you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform. These Terms govern all users including freelancers, clients, and visitors across Liberia, West Africa, and internationally.
2. Eligibility
- You must be at least 18 years of age to register and use FreelanceConnect.
- You must have the legal capacity to enter into a binding contract in your jurisdiction.
- Organisations may register provided a duly authorised representative accepts these Terms on behalf of the organisation.
- We reserve the right to refuse registration or suspend accounts at our discretion.
3. Account Registration & Security
- You agree to provide accurate, current, and complete registration information and to keep it updated.
- You are responsible for maintaining the confidentiality of your password and all activity under your account.
- You must notify us immediately at support@freelanceconnect.lr if you suspect unauthorised access to your account.
- You may not share your account, impersonate any person or entity, or create multiple accounts to circumvent restrictions.
- We strongly recommend enabling Two-Factor Authentication (2FA) for additional account security.
4. Platform Services
FreelanceConnect provides a marketplace that enables:
- Clients to post projects, review proposals, hire freelancers, manage contracts, and release payments through our escrow system.
- Freelancers to create professional profiles, submit proposals, offer services, complete contracted work, and receive payments.
- Escrow & Payment Processing: All project payments are held in escrow until milestones are approved. Funds are released only upon client approval or dispute resolution.
FreelanceConnect is a marketplace platform. We are not a party to contracts between clients and freelancers and are not responsible for the quality, safety, legality, or delivery of any services.
5. Fees & Payments
- Platform Commission: FreelanceConnect deducts a commission on completed project payments. The current commission rate is displayed in your account dashboard and may be updated with 14 days' notice.
- Project Posting Fee: A fee may apply to post certain projects, as indicated at the time of posting.
- Wallet: Users maintain a wallet on the platform for deposits, project funding, and withdrawals. Minimum deposit and withdrawal amounts apply.
- Supported Payment Methods: Orange Money, MTN MOMO, and supported bank transfers. Payment availability may vary by region.
- Withdrawals: Withdrawal requests are processed within the number of business days stated in your dashboard. We are not liable for delays caused by third-party payment processors.
- Taxes: You are solely responsible for any taxes, duties, or levies applicable to your earnings or payments under the laws of your jurisdiction, including the Republic of Liberia.
6. Freelancer Obligations
- Deliver work that meets the agreed scope, quality, and deadlines set out in the contract.
- Communicate promptly and professionally with clients through the platform's messaging system.
- Represent your skills, qualifications, and portfolio accurately and honestly.
- Not request or accept payments outside the FreelanceConnect platform for work originated on the platform ("fee circumvention").
- Ensure that all work delivered is original, does not infringe third-party intellectual property rights, and complies with applicable laws.
7. Client Obligations
- Provide clear, accurate, and complete project descriptions and requirements.
- Fund escrow in full before work commences, as required by the platform.
- Review and approve or request revisions for submitted work in a timely manner.
- Release milestone payments promptly upon satisfactory completion of agreed deliverables.
- Not request work that violates applicable law or these Terms.
8. Prohibited Conduct
You agree not to:
- Post false, misleading, or fraudulent project listings, profiles, or reviews;
- Engage in circumvention of the platform's fee structure by conducting transactions off-platform;
- Harass, threaten, defame, or discriminate against any user;
- Upload or transmit malicious software, viruses, or harmful code;
- Scrape, reverse-engineer, or reproduce any part of the platform without written authorisation;
- Use automated tools or bots to interact with the platform;
- Post content that is illegal, obscene, defamatory, or violates any third-party rights;
- Attempt to gain unauthorised access to any part of the platform or another user's account;
- Use the platform to facilitate money laundering, fraud, or any other illegal financial activity.
Violations may result in immediate account suspension or termination without refund.
9. Intellectual Property
- Platform Content: All content created by FreelanceConnect (design, code, branding, text) is owned by Parous Group and protected by applicable intellectual property laws.
- User Content: You retain ownership of content you post on the platform. By posting, you grant FreelanceConnect a non-exclusive, royalty-free licence to display, store, and process your content for platform operations.
- Delivered Work: Intellectual property ownership of deliverables is governed by the contract between the freelancer and client. Unless explicitly agreed otherwise in writing, full ownership transfers to the client upon final payment release.
10. Dispute Resolution
- We provide an integrated dispute resolution system for disagreements between clients and freelancers.
- Both parties are encouraged to resolve disputes amicably through our messaging system first.
- If unresolved, either party may raise a formal dispute through the platform's dispute portal. Our moderation team will review evidence and issue a binding resolution.
- FreelanceConnect's dispute decisions are final within the platform. Users retain the right to pursue legal remedies independently.
- For matters not resolved through our system, disputes shall be governed by the laws of the Republic of Liberia, and both parties submit to the jurisdiction of Liberian courts.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- FreelanceConnect and Parous Group are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform;
- Our total liability to any user for any claim arising under these Terms shall not exceed the total fees paid by that user to FreelanceConnect in the three months preceding the claim;
- We are not liable for disruptions caused by third-party services, internet outages, force majeure events, or circumstances beyond our reasonable control.
12. Disclaimers
The Platform is provided on an "as is" and "as available" basis. FreelanceConnect makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation of the platform.
13. Account Termination
- You may close your account at any time by contacting support. Active contracts, pending payments, or open disputes must be resolved before account closure.
- FreelanceConnect reserves the right to suspend or terminate accounts for violation of these Terms, fraudulent activity, extended inactivity, or any other reason at our discretion.
- Upon termination, your right to use the platform ceases immediately. Outstanding funds in escrow will be handled in accordance with our dispute resolution process.
14. Push Notifications
If you opt into push notifications, you consent to receiving alerts relating to project activity, messages, payments, and platform updates. You may withdraw consent and unsubscribe from push notifications at any time through your browser or device settings. Opting out of push notifications does not affect your ability to use the platform.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a platform notification. Continued use of FreelanceConnect after the effective date constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Liberia. Users located in other jurisdictions also agree to comply with all local laws applicable to their use of the platform.
